Heaven11.pro is an Internet portal (further - «Portal", the "Site"), which allows its users to post and process the information in the online mode exploitation of music and video content automatically. Services provided by Amodei OU via heaven11.pro (Later «Heaven11» or "we") include the processing of information provided to Us by you and your partners about master-recordings, performances, works, videos, and other similar objects.

This Terms of use (hereinafter - the "Agreement", "Contract") contains the legally binding rules for you to use the Portal. Using the Portal you agree to be bound by the conditions of this Agreement, no matter whether you are a "Visitor" (you visit Portal and does not have own account) or you are "Member" (you are registered on the Portal). Visitors and members are the "Users”. You can use the Portal services (regardless of whether you are a casual Visitor or an active User) if you agree to abide by the relevant laws and comply with this Agreement only. Please read this Agreement carefully and save it. If you do not agree with the terms of this Agreement, please exit heaven11.pro and immediately suspend the usage of services Heaven11. If you wish to become a Member and use the services of Heaven11, you must read this Agreement. Use of our services shall mean your consent with the Agreement.

For the full use of the services of Heaven11 you need to register your own account in the Portal, which requires complete filling of the appropriate registration form to receive an authorization code via mobile communication facilities (to your preferred number). You should report only accurate information about you and your business for registration. We reserve the right to refuse registration for any reasons, including the reason of direction of false information while registering on the Site, as well as to suspend the registration when we become aware of the unreliability of the directed data or if iny third parties send statements, you use their name, title, personal and business data without their consent. Some services at the Portal may demand additional software or content and / or the need to agree to additional terms and conditions.

Heaven11 reserves the right from time to time make changes to this Agreement and the changes will become effective upon posting on the Site. By using of the Portal, you agree to abide by any changes made to this Agreement, following their placement on the site. Thus, it is important that you regularly re-read this Agreement and have been informed of any changes. Please be careful when selecting the information you send to Heaven11 and share with others. Your profile at the Site must contain sufficient information to identify you including phone numbers, business unit, e-mail addresses, names. Despite this rule, the information provided by other users of the Portal (for example, in their Profile) may contain inaccurate information and false information, and information about the goods and services that these users may not or can not provide. In such cases, Heaven11 is not responsible for such information. If you become aware of misuse (including violates the terms of the Agreement)of Portal by someone, please contact Heaven11 and report the relevant facts. Heaven11 reserves the right to take the decision to reject, refuse to transmit or to remove any information you submit, as well as to limit, suspend or terminate your access to all or or some services of Portal at any time, for any or no reason, with / or without prior notice, and without any obligation from side of Heaven11.

Amodei OU (and its legal representatives and authorized employees) – is an entity administrating the Portal and a party to this Agreement.

Content - any kind of protectable information, as well as the protected material, including copyrightable works and phonographic records, patented technologies, registered trademarks, which can not be freely distributed without permission of the relevant owner, as well as information provided by Users.

Portal / Site Heaven11.pro - service provided by means of TCP / IP protocol under the url-address https://www.heaven11.pro, as well as directly connected therewith url-addresses.

Profile / Account - specially selected for User personal nickname and password to login. Also terms Profile / Account may mean a special User’s (Member’s) pages containing information about him/her/it, access to editing which has such User and Heaven11.

1. Terms of Use

Use of and Membership on the Site is void where prohibited. Using the portal, you represent and warrant that (a) all information provided by you at registration is truthful and accurate; (b) you will maintain the correctness of such information, (c) you have complete legal capacity (including but not limiting: you are not a minor); (d) you don’t breach the rules and laws in your location by using the Portal. Your profile may be deleted and your Membership may be suspended without warning, if we make sure that one of these conditions is violated.

2. Conditions

This Agreement shall remain in force during the whole time while you use the portal or remain a User of Portal. You may terminate your Membership at any time, for any reason by following the instructions posted on the Portal. Heaven11 may terminate your membership without notice at any time. Even at the termination of your membership, the contract remains in force in parts of binding you and / or Heaven11 obligations and unfulfilled at the time of such termination, if such obligations are not prohibited by law or this Agreement.

3. Payment

You confirm that Heaven11 reserves the right to set prices for services and from time to time to modify them at it own will. If Heaven11 terminate your membership because you have breached this Agreement, you will not have the right to return any unused part of your payments.

4. Password

When you sign up, in order to become a Member, you will be asked to choose a password. You are entirely responsible for the confidentiality of your password. You agree that you will never use the account, username, or password of another Member, and will not give your password to any third party. You also agree to immediately inform Heaven11, if you suspect use of your account without permission, or someone have access to your password. Only you are responsible for all and any usage of your account. Your password is your signature and confirms that the actions committed with it (including after you log in to your account using the password) are made by you personally or your authorized representative.

5. Commercial use

Portal intended for use to simplifying and streamlining of doing business in the music industry. Illegal and / or unauthorized use Portal is prohibited, including the collection by any ways of User’s names and / or information about the Users, sending of unsolicited emails or unauthorized documents, links, proposals, offers, promotional information not specified in this Agreement. Commercial advertising, some links, and other forms of unauthorized placement of information may be removed from Member’s profiles without notice and may void the privileges of membership. Appropriate actions of Users can be trated as illegal and unauthorized use of the Portal.

6. Content rights

Heaven11 does not require exclusive rights or grant a license to the Content (including text, files, images, pictures, sound recordings, musical works, any other author’s works, or any other materials protected by intellectual property laws) that you place on Portal except any rights that may be required in accordance with the laws of your location, location Heaven11, Portal’s host server location. After placing your Content, you continue to retain all rights, and you have the right to dispose of it at own discretion. When placing and publishing Content of any kind by means of the Portal, you grant Heaven11 right to use, reproduce, technicaly change, publicly perform and display, distribute, make it availiable to audience in any place and at any time at choice of the audience only for/by/in/via Heaven11.
Without this right Heaven11 can not get the services rendered. This permittion does not authorize Heaven11 to sell your Content, as it does not give the right to distribute your Content outside of the Portal.
You represent and warrant: (1) you own the Content that you distribute through Heaven11 services or authorized to act so legally, and (2) distribution of your Content on or by means of Heaven11 not violate copyright, the right to publish, copy, obligations under any contract or any other rights of third parties. You agree to pay all fees, compensation or other sums of money to any person for the Content posted by you on by Portal.
The portal includes a Content of Heaven11 («Heaven11 Content»). Heaven11 Content protected by copyrights, trademarks legislation, patents, trade secret and other laws, and Heaven11 has and reserves all rights thereon. Thus, Heaven11 guarantee you the ability to use such Content only in the Portal and at the time of use of the Portal.
The portal includes Third Party’s Content. You may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, sell or otherwise use the Content that appears on / or by means of the Portal, but not provided by you, if you do not have the appropriate authority from the respective rightholders, or unless the use is not permitted to you under the law.

7. Placed Content

Heaven11 may remove any Content in case of violation Hereof, or if the Content is offensive, illegal and violates the rights of anyone, harms or threatens the safety of anyone. Heaven11 not responsible for monitoring the Content placed in the Portal or incorrect behavior of the Users. At any time, Heaven11 can decide only at own discretion, to check the Portal for the presence or absence of persons and entities violating the Agreement or applicable law. However Heaven11 is not responsible for the Content, does not undertake any obligation to modify or remove any incorrect content, and is not responsible for the behavior of other Users providing such Content.
You are solely responsible for the Content posted by you on or by means of the Portal, as well as the Content, materials and information that you transmit to other Users or make availiable for them, as well as for contacts with other users. Heaven11 does not endorse and doesn’t control the Content. Heaven11 doesn’t premoderate the Content and Content does not necessarily reflect the views and strategy of Heaven11. Heaven11 doesn’t make any warranties, expressly or specifically intended in this situation, regarding accuracy and reliability of the Content, the User's rights to place the Content or other materials and information that you transmit to other users, or the other Users send to you.

8.Content/Prohibited activity

The following is a partial list of Content that is illegal and is prohibited to be sent to / or by Portal. Heaven11 reserves the right to monitor and take appropriate legal action against anyone who uses the space of Heaven11's Portal exploiting offensive, illegal, unlawful, agressive Content, by terminating membership of such violators, removal of such Content, as well as using any other available to Heaven11 remedies. Prohibited Content includes, but is not limited to the following:

Offensive and promotes racism, prejudice, hate, and physical violence directed at a group of people or a particular person;
Harassing people or preaching their offense;
Containing scenes, information, propaganda of the use of people in a brutal sexual manner;
Containing violence, abuse, naked human nature or giving links to such sites, information, objects, and so on;
Solicits personal information from any persons, including persons under 18 years old;
Containing telephone numbers, names, addresses, URL addresses and e-mail addresses of any persons;
Spreading false information or promotes illegal activities and behavior that is abusive, threatening, vulgar, defamatory or libelous;
Spreading illegal or pirated copies of works, protected by copyrights and related rights. In particular, the spread of pirated computer programs or links to these programs, the dissemination of information about the possibility of illegal acquisition of programs with protection against copying or distribution of pirated music or links to pirated music sites;
Associated with the transfer of "junk mail," "chain letters", mass mail, bulk instant messages, "spam" or "spamming";
Includes information about accessing web-resources with restricted access or access only with password or hidden pages and pictures (i.e. from which or to which public access is not provided);
Promotes or propagandizes any illegal activity, or distributes instructions about illegal activities, including information on illegal production and distribution of weapons, narcotics and psychotropic substances;
Requests the password and personal information of Users for commercial or illegal acts;
Begins commercial activities and / or sales, such as spores, sweepstakes, barter, advertising or distribution schemes, "pyramid schemes", without the prior written permission of addressee in cases where such activities are not expressly provided by business model of Portal;
Containing images of a person, haven't permitted publication of these images;
is audio tracks or video containing sexual indecency, or contains another offensive information, inaccurate or misleading information.

8. Illegal activities

Below is a partial list of illegal and prohibited activities on the Site. Heaven11 reserves the right to obtain information and take appropriate legal action at own discretion of Heaven11 against anyone who violates this provision, including without limitation, direction of information about administrative or criminal offense to relevant government authorities in the relevant jurisdiction. Prohibited actions include, but are not limited to:

criminal or violent acts, including child pornography, fraud, selling of an illigal goods, drug trafficking, gambling, aggression, stalking, spamming, spimming, sending of viruses, or other files that are harmful, infringes copyrights and/or neighboring rights, infringes patents, or steals professional secrets and know-how;
Advertising or coercion of any User to buy or sell any products or services using services Heaven11. You may not send "chain letters," or "junk mail" to other Users. Use any information found on Portal to establish contact, distribution of advertising, filing any claim or sell anything to anyone without prior consent is also considered a violation of these rules. To protect our Users from such advertising and insistence, Heaven11 reserves the right to limit the number of messages that you may send to other Members in 24 hour, up to the amount that is considered necessary in this situation. If you breach this Agreement and send unsolicited mass e-mail, instant messages, or initiate other unauthorized transmission of the information of any kind by means of the Portal, you agree that by doing so you will cause significant harm to Heaven11, and that such damage would be difficult to assess. As a reasonable estimate of such harm, you agree to pay 50 euros for Heaven11 per every e-mail of this kind or other unauthorized communication over media services of Heaven11;
To inform another User or Heaven11 that you have the rights to the Content and / or the possibility to conclude an agreement with respect to the Content that you do not controll;
any automated use of the system, such as the use of script fonts to add contractors or send comments, requests or messages;
obstruction, decoupling or creation undue hardship on the Site or the networks or services connected to the Portal;
Imitation of another user or persons or legal entity, regardless of whether they are Users or not;
To copy the code of Portal and any unauthorized use thereof, or request addressed to any third party of such actions;
To use of the account, username, password of another Member at any time or disclosing your password to any third party or allow third parties to have access to your account;
To sale or transfer in any way of your user data or data of others (including Users) displayed on the Site;
To use any information obtained from the Portal to harass, abuse, or harm another persons or legal entities (including without limitation to harm thei reputation);
To use Portal contrary to the rules and laws.

9. Disputes between Users

You are solely responsible for your contact with other Users. Heaven11 reserves the right, but has no obligation, to monitor contacts between you and other Users in order to prevent activities that violate any laws, rules, present Agreement, misleading others.

Heaven11 is not responsible for any incorrect Content or programs posted on the Portal or through the Portal by Users. User settings are created and posted by Members on the Site and may contain links to other websites. Heaven11 is not responsible for the content, accuracy or opinions on these sites and these sites are not tracked in any way, are not checked for correctness or completeness by Us. Adding of internet-link to the Portal does not imply endorsement or support of this link by Us. If you add a link to any third party sites, you do so at your own risk. Heaven11 is not responsible for the ads posted on the sites and posted on the Internet pages of the Portal, Heaven11 is not responsible for the products and services offered in these ads as well. Heaven11 is not responsible for the conduct and actions of Users. Heaven11 assumes no responsibility for errors, gaps, obstacles, weaknesses, pause in operations or transmission, line failure, theft or destruction or unauthorized access to the information shared by User or Member. Heaven11 not responsible for any technical malfunctions of telephone lines or telephone systems, computer online systems, computer equipment, software, servers and providers, as well as failures in sending e-mail, sending information via the Portal for technical reasons or because of failures in the Internet-connection or any malfunctions or Portal, including the damage or injury to the User or the User's computer, which use the Portal or download any information from the Portal. Heaven11 is not liable for any loss or damage, including personal injury, death, loss of profit and the actual damage as a result of use of the Portal, participation in any events which became known through the Portal, of the Content posted on or by means of Portal or by the conduct of any of the Users of the portal both online and offline. Portal services are provided and are available under condition "as it is". Heaven11 can not guarantee and does not promise any specific results from use of the Portal.

12. Limitation of Liability

UNDER NO CIRCUMSTANCES Heaven11 SHALL HAVE NO LIABILITY BEFORE YOU OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL DAMAGES OR OTHER DAMAGES, INCLUDING LOST PROFITS AND ACTUAL DAMAGE DURING YOUR USE OF THE PORTAL, EVEN IF Heaven11 has notify you of such dangers. The only case, WHICH Heaven11 LIABLE TO USER is the case where the damage was a result of guilty action of Heaven11, the consequences of which Heaven11 could and should have foreseen. NOTWITHSTANDING ANYTHING OPPOSITE SAID HEREINABOVE, Heaven11 LIABILITY TO YOU AT ANY TIME SHALL BE LIMITED TO THE AMOUNT PAID BY YOU FOR USE OF PORTAL to Heaven11 during your membership.

13. Protection of copyrights and other rights

(in this paragraph, the term "copyright" shall mean any rights to intellectual property).

You may not distribute, modify, sell, reproduce and use in any way protected intellectual property, materials, trademarks, or other information that belongs to someone and is copyrighted without the prior written consent of the rightful owner of the material (Content). Our main rule is to stop Membership privileges of any Member, if it constantly violates the copyrights of others, and it becomes known to Heaven11 from the copyright owner, its agent, or from other sources. Without any restrictions, if you believe that your material has been copied and posted on the Portal, and thus violated your copyright, neighboring and other rights, please notify our Copyright Agent and direct the following information: (1) an electronic or physical signature of the person authorized to act on behalf of and in the interests of the copyright owner, (2) a description of the protected by copyrights and other rights Content that you believe have been violated, (3) a description of where on the Portal, you assume your Content was posted, (4) your address, telephone number, email address, and (5) the written and reasoned document signed by you that you are absolutely sure that the use of the Content is illegal and there is no legal reasons to use it in described way, (6) your statement that your aplication is not perjury, that you provided correct information, and that you are the copyright owner or authorized to act on behalf of the appropriate person or entity. To make a claim of infringement of copyright or other rights, you can contact our copyright protection agents using the feedback form on the website.

14. Disputes

If there is any dispute about or involving Heaven11, you agree that any disputes will be resolved under the laws of location of Heaven11 in court at the place of residency of Heaven11.

15. Payments

You agree to maintain and not to harm Heaven11, its subsidiaries, affiliates, and their employees, agents, partners and do not bring them losses, debts, not to sue or demand, including attorneys' fees, arising out of or during your use of Portal in a way violating this Agreement and / or arising from breach of this Agreement and / or because of a breach of your representations and warranties referred to above and / or if the Content posted by you on the Site or by the Portal motivates Heaven11to make it available to others or will become available for others default in relation to the normal work of the Portal.

16. Business ethics

Keeping in mind that the Portal has been created to optimize the business in the music industry and related areas, you agree to use the Portal in accordance with standard business ethics and only in accordance with the law. Heaven11 guarantees from its side faithfull attitude to your Content and will subject to availability provide consultations on the functions of the Portal.

17. Contract

Heaven11 reserves the right at any time to review the terms and conditions of this Agreement and conditions of conclusion hereof, confirmation hereof, including the request of written confirmation from you.

18. Other conditions

This Agreement shall be deemed accepted by you at all the time of use of the Portal and time you are staying a Member. This Agreement constitutes the entire agreement between you and Heaven11 regarding rendering of services by Heaven11via Portal. Heaven11 not exploiting any of provisions hereof doesn’t waive of any rights, mentioned herein or any provisions hereof. The titles of the clauses in this Agreement are made for convenience only and shall not have any significance in the interpretation. This Agreement is in full accordance with the law of the location of Heaven11. If any provision of this Agreement is unlawful, void or can’t be a reason for the appropriate actions, such provision shall be deemed separated from the Agreement does not affect the validity, legality and enforceability of the remaining provisions, and shall be replaced by the most similar provision corresponding the relevant law.
